Terms of Service

1. Agreement to Terms

By downloading, installing, or using Wisply ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Wisply is an application for Mac, iPhone, and iPad that provides speech transcription, speaker identification, and optional AI features. Core speech transcription runs on your device. Local AI insights use Apple Foundation Models on compatible devices with Apple Intelligence enabled. On macOS, optional Screen Understanding can transiently analyze one window or display that you select for a session, as described in the Privacy Policy. Certain optional cloud AI features require your explicit consent before questions, transcript context, or audio are sent off-device.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for personal or commercial purposes on devices you own or control.

You may not:

  • Copy, modify, or distribute the App
  • Reverse engineer, decompile, or disassemble the App
  • Rent, lease, lend, sell, or sublicense the App
  • Remove or alter any proprietary notices in the App

4. Your Content

You retain all rights you hold in your transcripts, audio recordings, and other content you create or choose to process using the App ("Your Content"). We do not claim ownership of Your Content.

Audio recordings are stored locally on your device. Transcript and memo data are stored locally by default and may optionally sync through your private iCloud account if you enable iCloud sync. Separate optional cloud AI features require explicit consent before questions, transcript context, or audio are sent off-device.

Screen Understanding processes frames and recognized text locally on your Mac. You choose the shared window or display for each session and can stop sharing at any time. Interview Setup also supports local text recognition from a selected external video input. You can copy recognized text into an editable question and review it. If you choose Generate with a cloud model after granting Cloud AI consent, that question text is sent directly to your selected provider. Screen images and video frames are not uploaded by this workflow.

5. Plans and Pricing

Current prices, available plans, included features, and any free feature limits are described in the App and App Store listing. Prices and availability may vary by region and device. Review the purchase terms before confirming a purchase. If you connect your own cloud AI provider account, its usage charges are separate.

We reserve the right to modify free tier features at any time with reasonable notice.

6. Subscriptions

Subscriptions are offered through Apple App Store in-app purchase.

  • Subscriptions are billed through your Apple ID account
  • Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period
  • You can manage and cancel subscriptions in your Apple ID Account Settings
  • Refunds are handled according to Apple's refund policy at reportaproblem.apple.com

7. System Requirements

The App requires macOS 26, iOS 26, or iPadOS 26 or later. The optional Apple Watch companion requires watchOS 26 or later and a paired iPhone. Local AI features require compatible hardware with Apple Intelligence enabled. Check the App Store listing for current compatibility and availability.

8. Third-Party Technologies

The App uses the following third-party technologies:

  • Apple Speech Framework for transcription
  • Apple Foundation Models for AI insights
  • FluidAudio for speaker diarization
  • OpenAI Realtime API for separate optional cloud AI features that you explicitly enable

Your use of these technologies is subject to their respective terms and licenses.

9. Acceptable Use

You agree not to:

  • Use the App for any illegal purpose or in violation of any laws
  • Record conversations without proper consent where required by law
  • Use Screen Understanding on content you are not authorized to access or process, or without informing affected people when required
  • Use the App to harass, defame, or harm others
  • Attempt to circumvent any technical limitations or security measures
  • Use the App in any manner that could damage or impair the App

10. Privacy

Our Privacy Policy describes how we handle your information. Core transcription, supported local AI insights, and screen text recognition run on your device. Saved audio stays local. Optional iCloud sync shares transcript and memo data when enabled. Optional cloud AI can send audio, text, or context to your selected provider after explicit consent, including live microphone audio for supported features. Interview Setup sends recognized text that you copy into a question when you choose Generate; that workflow does not upload screen images or video frames. Usage and diagnostic analytics are enabled by default. Review the App's settings and Privacy Policy for each feature and integration.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Transcription accuracy depends on audio quality, background noise, accents, and other factors. We do not guarantee the accuracy of any transcription or AI-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from your use of the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms in the App or on our website. Your continued use of the App after such changes constitutes acceptance of the new Terms.

15. Termination

We may terminate or suspend your access to the App at any time, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the App will immediately cease.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

17. Apple App Store Terms

If you downloaded the App from the Apple App Store, you also agree to the following:

  • These Terms are between you and Wisply, not Apple
  • Apple has no obligation to provide maintenance or support for the App
  • Apple is not responsible for any claims relating to the App
  • Apple is a third-party beneficiary of these Terms
