1. Agreement to Terms

By downloading, installing, or using Wisply ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Wisply is a macOS application that provides real-time speech transcription with speaker diarization and AI-powered insights. Core speech transcription and memo insights run locally on your device using Apple's Speech framework and Foundation Models. Certain optional cloud AI features require your explicit consent before transcript or audio context is sent off-device.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for personal or commercial purposes on devices you own or control.

You may not:

  • Copy, modify, or distribute the App
  • Reverse engineer, decompile, or disassemble the App
  • Rent, lease, lend, sell, or sublicense the App
  • Remove or alter any proprietary notices in the App

4. Your Content

You retain all rights to your transcripts, audio recordings, and other content you create using the App ("Your Content"). We do not claim ownership of Your Content.

Audio recordings are stored locally on your device. Transcript and memo data are stored locally by default and may optionally sync through your private iCloud account if you enable iCloud sync. Separate optional cloud AI features require explicit consent before transcript or audio context is sent off-device.

5. Free Tier

The core features of Wisply are available for free, including:

  • Unlimited transcription
  • Real-time speaker diarization
  • Dual audio capture (microphone and system audio)
  • On-device AI insights and summaries
  • Local memo storage

We reserve the right to modify free tier features at any time with reasonable notice.

6. Premium Subscriptions

Premium subscriptions are offered through Apple App Store in-app purchase.

  • Subscriptions are billed through your Apple ID account
  • Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period
  • You can manage and cancel subscriptions in your Apple ID Account Settings
  • Refunds are handled according to Apple's refund policy at reportaproblem.apple.com

7. System Requirements

The App requires macOS 26 or later and Apple Silicon (M1 or later) is recommended. Certain features require Apple Intelligence to be enabled on your device.

8. Third-Party Technologies

The App uses the following third-party technologies:

  • Apple Speech Framework for transcription
  • Apple Foundation Models for AI insights
  • FluidAudio for speaker diarization
  • OpenAI Realtime API for separate optional cloud AI features that you explicitly enable

Your use of these technologies is subject to their respective terms and licenses.

9. Acceptable Use

You agree not to:

  • Use the App for any illegal purpose or in violation of any laws
  • Record conversations without proper consent where required by law
  • Use the App to harass, defame, or harm others
  • Attempt to circumvent any technical limitations or security measures
  • Use the App in any manner that could damage or impair the App

10. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we handle your information. In summary: core transcription and memo insights happen locally on your device, audio recordings are not uploaded to Wisply servers, transcript and memo data are stored locally by default with optional private iCloud sync, and separate cloud AI features require explicit consent before data is sent off-device.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Transcription accuracy depends on audio quality, background noise, accents, and other factors. We do not guarantee the accuracy of any transcription or AI-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from your use of the App shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from your use of the App or violation of these Terms.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms in the App or on our website. Your continued use of the App after such changes constitutes acceptance of the new Terms.

15. Termination

We may terminate or suspend your access to the App at any time, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the App will immediately cease.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

17. Apple App Store Terms

If you downloaded the App from the Apple App Store, you also agree to the following:

  • These Terms are between you and Wisply, not Apple
  • Apple has no obligation to provide maintenance or support for the App
  • Apple is not responsible for any claims relating to the App
  • Apple is a third-party beneficiary of these Terms
